General<\/strong><\/p>\n

By signing an agreement, the client expressly accepts the conditions set out below. Teamservices bv nevertheless reserves the right to add further general conditions to individual agreements.<\/p>\n

The parties expressly agree that Teamservices bv is not bound by any obligation, or may suspend its obligations, if the client fails to fulfil its obligations or if the order is changed during performance.<\/p>\n

Acceptance \/ Complaints<\/strong><\/p>\n

The parties agree that complaints can only be considered if submitted by registered letter within 7 days of the invoice being sent and if described in precise and comprehensive detail. Submitting a complaint does not release the client from its payment obligations. If the client fails to pay without notifying its objections by registered letter, Teamservices bv is entitled to suspend the work, without prejudice to its right to late-payment interest and compensation.<\/p>\n

Prices<\/strong><\/p>\n

All prices exclude VAT.<\/p>\n

Prices are invoiced at the rate applicable to the services on the date of the agreement signed by the client. However, Teamservices bv is always entitled to adjust the prices stated in its agreement if circumstances beyond its control increase the cost of providing the services, including increases in supplier prices, wages or social security contributions.<\/p>\n

All taxes, duties, costs and charges, whatever their basis, shall always be borne by the client.<\/p>\n

Payment<\/strong><\/p>\n

Unless otherwise agreed, all invoices are payable immediately at the registered office of Teamservices bv, no later than upon delivery. Payment terms are granted only with the express written agreement of Teamservices bv. In that case, the agreed advance payments are due on the specified dates.<\/p>\n

For payments by cheque or any other negotiable instrument, payment is considered made only when the funds have actually been collected.<\/p>\n

Acceptance of bills of exchange, cheques, promissory notes, mandates, partial payments, instalment payments or an assignment of a claim does not constitute novation; these conditions therefore remain fully applicable.<\/p>\n

Without prejudice to Article 7, if an invoice remains unpaid on its due date, contractual late-payment interest of 10% per annum shall accrue on the invoice amount without prior notice of default until the date of actual payment. In addition, the amount due shall automatically, without any notice of default being required, be increased by fixed compensation of 15% of the invoice amount, with a minimum of EUR 75, irrespective of any court and\/or recovery costs, including all lawyers\u2019 costs and fees.<\/p>\n

Non-payment, even partial, renders invoices not yet due immediately payable, without any formality or reminder.<\/p>\n

Teamservices bv retains ownership of all Products it supplies until full payment of the price of all Products and Services supplied or to be supplied to the client by Teamservices bv, of any claims for work performed or to be performed by Teamservices bv in connection with the supply of its Products and Services, and of any claims Teamservices bv may have against the Client arising from a failure to fulfil the Agreement.<\/p>\n

Force majeure<\/strong><\/p>\n

An unforeseen event and\/or force majeure entitles Teamservices bv to terminate all or part of the agreement or order, or to postpone its performance, without any notice period or compensation.<\/p>\n

In such circumstances, Teamservices bv cannot be held liable in any way for failure to fulfil its obligations or for any resulting loss suffered by the client.<\/p>\n

Termination and dissolution<\/strong><\/p>\n

Without prejudice to its right to compensation, Teamservices bv is entitled at any time, by registered letter and without prior notice of default, to terminate the agreement as of right, even if partly performed, or to require additional guarantees in the event of the client\u2019s bankruptcy, liquidation or serious deterioration in creditworthiness, or if the client fails to fulfil the obligations set out in Article 4.<\/p>\n

Applicable law and jurisdiction<\/strong><\/p>\n

These conditions and their legal consequences are governed exclusively by Belgian law.<\/p>\n

Any disputes arising from these conditions fall within the exclusive jurisdiction of the courts of the judicial district of Antwerp.<\/p>\n

General<\/strong><\/p>\n

The invalidity of any provision of these conditions shall not affect the validity of the other provisions or render them invalid.<\/p>\n

The order form and these conditions constitute the entire agreement between the parties concerning the subject matter of the order form and replace and supersede all previous oral and\/or written agreements relating to it.<\/p>\n

The client acknowledges having read these conditions and declares that it accepts all provisions, conditions and prices.<\/p>\n

The client undertakes to notify Teamservices bv without delay, by registered letter, of any change of address.<\/p>\n

These conditions may be amended only by a written agreement duly signed by Teamservices bv and the
